FA, Schedule 2, Section I.B. 2, 4 and 5 and PA, Schedule, Section I.B.2, 4 and 5:The Recipient shall, and shall cause the ProjectImplementing Entities for both Part I & II to, ensure that:(i) the Project shall be implemented in accordance with the guidelines,procedures, timetables and other specifications set forth in the Safeguard Documents; (ii) prior to commencing any works under theProject: (A) all necessary governmental permits and clearances for such civil works shall have been obtained from the competentgovernmental authority/ies; (B) all pre-construction conditions imposed by the governmental authority/ies under such permit(s) orclearance(s) shall have been complied with/fulfilled; and (C) all resettlement measures for the respective civil works set forth inthe applicable Resettlement Action Plan, shall have been fully executed, including the full payment of compensation prior todisplacement and/or the provision of relocation assistance to all Displaced Persons, as per the entitlements provided in theResettlement Policy Framework and/or the applicable Resettlement Action Plan; (iii) any contracts for civil works under theProject include codes of conduct in form and substance acceptable to the Association, detailing measures on environment, health andsafety and preventing and responding to HIV/AIDS, gender-based violence, and violence against children; (iv) safeguard reportingrequirements shall be complied with; and(v) a grievance redress mechanism for the handling of any stakeholder complaints arisingout of the implementation of the Project activities shall be maintained throughout Project implementation.

FA, Schedule 2, Section I.C and Section III.A: The Recipient shall provide an amount of not less than the equivalent of forty-sixmillion and two hundred thousand Dollars ($46,200,000) as counterpart funds for the Project, to be allocated to Land Expendituresand expenditures related to security during construction.

PA, Schedule, Section I.A.1: No later than one (1) month after the Effective Date, the Project Implementing Entities shallestablish, and thereafter maintain two separate steering committees for Part I and II, with terms of reference, composition andresources satisfactory to the Association, to provide overall direction and strategic guidance to the Project.

PA, Schedule, Section I.A.2(a): No later than one (1) month after the Effective Date, the Project Implementing Entities shallestablish, and thereafter maintain, project implementation units for Components 1&2 respectively, with terms of reference,composition and resources satisfactory to the Association.

PA, Schedule. Section I.C:The Project Implementing Entity for Part-I undertakes that any decision to toll the Expressway shallapply in the same manner (and at same rate) to the alternative national highway.
